{"id":25995,"date":"2021-10-25T12:02:45","date_gmt":"2021-10-25T16:02:45","guid":{"rendered":"https:\/\/www.anoregmt.org.br\/novo\/?p=25995"},"modified":"2021-10-25T12:02:45","modified_gmt":"2021-10-25T16:02:45","slug":"irtdpjbrasil-expede-orientacao-institucional-sobre-a-extincao-da-eireli","status":"publish","type":"post","link":"https:\/\/www.anoregmt.org.br\/novo\/irtdpjbrasil-expede-orientacao-institucional-sobre-a-extincao-da-eireli\/","title":{"rendered":"IRTDPJBrasil expede Orienta\u00e7\u00e3o Institucional sobre a extin\u00e7\u00e3o da EIRELI"},"content":{"rendered":"<p style=\"text-align: justify;\"><strong>ORIENTA\u00c7\u00c3O INSTITUCIONAL N\u00ba 02\/2021<\/strong><\/p>\n<p style=\"text-align: justify;\"><strong>Extin\u00e7\u00e3o da EIRELI<\/strong><\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO que o INSTITUTO DE REGISTRO DE T\u00cdTULOS E DOCUMENTOS E DE PESSOAS JUR\u00cdDICAS DO BRASIL \u2013IRTDPJBrasil \u00e9 entidade de classe legitimamente reconhecida pelos poderes constitu\u00eddos para representar os 3.371 (tr\u00eas mil trezentos e setenta e um) serventias extrajudiciais que possuem atribui\u00e7\u00e3o de Registro de T\u00edtulos e Documentos \u2013 RTD e\/ou Registro Civil de Pessoas Jur\u00eddicas \u2013 RCPJ;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO que \u00e9 objetivo do IRTDPJBrasil estudar e pesquisar os procedimentos e normas jur\u00eddicas referentes ao Registro de T\u00edtulos e Documentos e de Pessoas Jur\u00eddicas, propugnando pelo desenvolvimento, difus\u00e3o e aperfei\u00e7oamento das t\u00e9cnicas utilizadas;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO que \u00e9 atribui\u00e7\u00e3o do RCPJ registrar os atos constitutivos e demais altera\u00e7\u00f5es estatut\u00e1rias das sociedades simples;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO que as sociedades simples podem adotar natureza jur\u00eddica de Empresa Individual de Responsabilidade Limitada \u2013 EIRELI;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO a extin\u00e7\u00e3o da EIRELI pela Lei n\u00ba 14.195, de 26 de agosto de 2021;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0CONSIDERANDO que a Receita Federal do Brasil comunicou o IRTDPJBrasil quanto \u00e0 descontinuidade da EIRELI no sistema da Rede Nacional para a Simplifica\u00e7\u00e3o do Registro e da Legaliza\u00e7\u00e3o de Empresas e Neg\u00f3cios \u2013 Redesim em reuni\u00e3o realizada no dia 23 de setembro de 2021;<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0O IRTDPJBrasil estabelece esta Orienta\u00e7\u00e3o Institucional n\u00ba 02\/2021 para todos os Oficiais de Registro Civil de Pessoas Jur\u00eddicas.<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0No dia 26 de agosto de 2021, foi publicada a Lei n\u00ba 14.195, que em seu Cap\u00edtulo IX \u2013 DA DESBUROCRATIZA\u00c7\u00c3O EMPRESARIAL E DOS ATOS PROCESSUAIS E DA PRESCRI\u00c7\u00c3O INTERCORRENTE disp\u00f5e que:<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0Art. 41. As empresas individuais de responsabilidade limitada existentes na data da entrada em vigor desta Lei ser\u00e3o transformadas em sociedades limitadas unipessoais independentemente de qualquer altera\u00e7\u00e3o em seu ato constitutivo.<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0Par\u00e1grafo \u00fanico. Ato do Drei disciplinar\u00e1 a transforma\u00e7\u00e3o referida neste artigo.<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0De acordo com a literalidade do dispositivo acima, as EIRELIs devem ser transformadas, automaticamente, em Sociedades Limitadas Unipessoais (SLU), natureza jur\u00eddica inaugurada no ordenamento jur\u00eddico brasileiro por meio da Lei n\u00ba 13.874, de 20 de setembro de 2019 \u2013 Lei da Liberdade Econ\u00f4mica.<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0Em raz\u00e3o do exposto, o IRTDPJBrasil orienta os Oficiais de RCPJ para que exijam a altera\u00e7\u00e3o de natureza jur\u00eddica em todos os requerimentos para inscri\u00e7\u00e3o ou averba\u00e7\u00e3o de sociedades simples que tenham, originariamente, adotado a natureza jur\u00eddica de empresa individual de responsabilidade limitada.<\/p>\n<p style=\"text-align: justify;\">\u00a0 \u00a0 \u00a0Em caso de transforma\u00e7\u00e3o, o instrumento de formaliza\u00e7\u00e3o da EIRELI em SLU \u00e9 a declara\u00e7\u00e3o do titular, seja pessoa natural ou jur\u00eddica, com a modifica\u00e7\u00e3o da denomina\u00e7\u00e3o ou da firma retirando-se a
